Terms & Conditions of Sale

These terms apply to all orders placed with West Country Concrete Products Limited. They are written for business buyers under English law.

1. Definitions

"Seller" means West Country Concrete Products Limited, company number 06987338, registered at Off Andigestion Lane, Holsworthy, EX22 7HH. "Buyer" means the business or organisation placing the order. "Goods" means the precast or prestressed concrete products to be supplied. "Contract" means the order accepted by the Seller subject to these terms.

2. Application of these terms

These terms govern every Contract between Seller and Buyer to the exclusion of any other terms the Buyer seeks to impose, including any terms on the Buyer's purchase order. Variations are only binding if agreed in writing by a director of the Seller. These terms are supplied to business customers; nothing in them affects the statutory rights of consumers under the Consumer Rights Act 2015.

3. Quotations and acceptance

Quotations are valid for 30 days from issue unless stated otherwise and may be withdrawn at any time before acceptance. An order is accepted only when the Seller issues a written acknowledgement or commences manufacture, whichever is sooner. The Seller reserves the right to decline any order.

4. Specifications and drawings

Where the Buyer supplies drawings, specifications or measurements, the Buyer is responsible for their accuracy. The Seller may rely on them without independent verification. Standard catalogue dimensions are subject to manufacturing tolerances in line with BS EN 13369 and the relevant product standards.

5. Prices and payment

Prices are exclusive of VAT and, unless stated, exclusive of delivery and offload. The Seller may revise prices for orders not despatched within 90 days of acceptance, on notice to the Buyer.

Payment terms for approved trade accounts are strictly 30 days from date of invoice. New customers without a credit account pay on a pro-forma basis before despatch. The Seller may suspend deliveries on any account in arrears. Late payment carries statutory interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

6. Delivery

Delivery dates are estimates and not of the essence. The Seller will not be liable for delays caused by weather, transport disruption, or events outside its reasonable control. The Buyer is responsible for providing safe access for HGVs and (where applicable) HIAB offload, and for ensuring the site is ready to receive the Goods at the agreed time. Standing time may be charged where a vehicle is delayed beyond 30 minutes through no fault of the Seller.

Risk passes to the Buyer on offload; title passes only when the Seller has received cleared payment in full for the Goods and any other sums owed (retention of title).

7. Inspection and returns

The Buyer must inspect the Goods on delivery and notify the Seller in writing of any shortage, damage or defect within 5 working days. Bespoke or made-to-order Goods are non-returnable. Catalogue Goods may be returned within 14 days subject to a restocking charge, where they are unused, undamaged and on original pallets.

8. Warranty

The Seller warrants that Goods will, at the time of delivery, conform to the agreed specification and be free from defects in materials and workmanship. The Seller's sole liability under this warranty is, at its option, to replace defective Goods or refund the price. This warranty does not cover damage caused by incorrect installation, ground movement, chemical attack outside specified resistance, overloading, or ordinary wear and tear.

9. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited.

Subject to that, the Seller's total liability under or in connection with the Contract — whether in contract, tort (including negligence), under statute or otherwise — is capped at the price paid for the Goods giving rise to the claim. The Seller is not liable for indirect or consequential losses, loss of profit, loss of revenue, loss of contracts, or loss of opportunity.

10. Force majeure

Neither party is liable for any failure or delay caused by events outside their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, fire, flood, severe weather, pandemic, industrial action, or interruption of utilities, transport or raw-material supply.

11. Intellectual property

All drawings, designs and technical literature supplied by the Seller remain the Seller's property and must not be copied, reused or shared with third parties without written consent.

12. Data protection

Each party will comply with the UK GDPR and the Data Protection Act 2018 in respect of any personal data shared under the Contract. See our Privacy Policy for detail.

13. Governing law and jurisdiction

The Contract is governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the English courts.
